Welcome to Vision Supply. Vision Supply is a website and storefront operated by Lithium Vision LLC. The terms "Vision Supply", "we", "us" and "our" refer to Lithium Vision LLC, doing business through the Vision Supply website and storefront. Vision Supply operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). Vision Supply is powered by Shopify, which enables us to provide the Services to you.
These terms and conditions, together with any policies referenced herein, are referred to as these "Terms of Service" or "Terms." These Terms describe your rights and responsibilities when you access the Services, purchase products, install products, charge products, store products, use products, allow another person to use products, or otherwise interact with Vision Supply.
Please read these Terms carefully. They include important information about legal rights, battery safety warnings, high-risk product warnings, warranty disclaimers, assumption of risk, release of liability, indemnification, limitations of liability, minors, parent and guardian responsibility, and off-road use.

IMPORTANT BATTERY AND PERFORMANCE PRODUCT WARNING: Vision Supply sells high-performance electric vehicle batteries, parts, chargers, controllers, accessories, and related products. These products may involve high voltage, high current, lithium battery fire risk, electric shock risk, increased speed, increased acceleration, increased torque, increased heat, crash risk, property damage risk, serious injury risk, and death risk. By purchasing, installing, charging, storing, modifying, using, reselling, transferring, or allowing another person to use a Vision Supply product, you agree that you are responsible for confirming fitment, confirming safe installation, using proper charging and storage practices, complying with all laws, supervising minors, maintaining the vehicle, and accepting the risks described in these Terms.
SECTION 1 - ACCESS, ACCOUNT, MINORS, AND PARENT/GUARDIAN RESPONSIBILITY
By using the Services or placing an order, you represent that you are at least the age of majority in your state, province, or country of residence, or that you are using the Services with the involvement, consent, and supervision of a parent or legal guardian.
The Services are not directed to children under 13 years old. Children under 13 may not use the Services or submit personal information to Vision Supply. If a parent or legal guardian wants to purchase a product for a minor, the parent or legal guardian must place the order and accept responsibility for the purchase, product, installation, charging, storage, use, and supervision of the minor.
If you are under the age of majority, you may only use the Services, place orders, receive products, install products, charge batteries, store batteries, ride modified vehicles, or use Vision Supply products with the involvement, consent, and supervision of a parent or legal guardian.
Any parent or legal guardian who allows a minor to access the Services, use a payment method, receive products, install products, charge batteries, store batteries, ride a modified vehicle, or use Vision Supply products accepts these Terms on behalf of themselves and the minor.
The parent or legal guardian is fully responsible for supervising the minor and for all risks, injuries, damages, losses, property damage, legal compliance, and claims related to the minor's access, purchase, installation, charging, storage, riding, or use of any Vision Supply product.
If a minor purchases a product using a parent or guardian's payment method, account, device, address, email, phone number, or other resources, the parent or guardian agrees that the purchase was authorized or permitted and that the parent or guardian is responsible for the order and all related risks, unless otherwise required by applicable law.
Vision Supply products are not toys. Batteries, controllers, chargers, and high-performance electric vehicle components should never be installed, charged, stored, handled, or used by minors without responsible adult supervision.
To use the Services, including accessing or browsing our online store or purchasing any products or services we offer, you may be asked to provide certain information, such as your email address, billing information, payment information, shipping information, and phone number. You represent and warrant that all information you provide is correct, current, and complete and that you have all rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.
SECTION 2 - OUR PRODUCTS
We have made every effort to provide an accurate representation of our products and services. However, colors, product appearance, dimensions, packaging, labels, product photos, renderings, and other details may differ from how they appear on your screen due to your device, settings, product updates, manufacturer changes, or configuration.
We do not warrant that the appearance, quality, performance, compatibility, speed, range, durability, legality, safety, or fitment of any products or services purchased by you will meet your expectations or be the same as depicted, described, estimated, rendered, or shown in videos, photos, social media posts, product descriptions, or our online store.
All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region, or jurisdiction on a case-by-case basis.
Product names, bike names, model names, and brand names may be used for compatibility or fitment identification only. Vision Supply is not necessarily affiliated with, endorsed by, sponsored by, or approved by any third-party vehicle, bike, battery, controller, charger, or parts manufacturer unless clearly stated in writing.
SECTION 3 - BATTERY PURCHASE AGREEMENT AND MATERIAL CONDITION OF SALE
By purchasing any battery, charger, controller, performance part, or related accessory from Vision Supply, you agree that the safety warnings, assumption of risk, release of liability, indemnification, warranty disclaimer, and limitation of liability in these Terms are a material condition of the sale.
You agree that Vision Supply would not sell these products without your agreement to these Terms, including the battery safety warnings, high-risk product warnings, parent and guardian responsibility provisions, assumption of risk, release, indemnification, warranty disclaimer, and limitation of liability.
By completing a purchase, you certify that:
- You have reviewed the product page and these Terms before purchase.
- You are legally allowed to purchase the product or are a parent/guardian purchasing for a minor.
- You are responsible for confirming product fitment before purchase.
- You are responsible for safe installation, charging, storage, maintenance, and use.
- You understand that lithium batteries and high-performance electric vehicle products can cause fire, explosion, electric shock, injury, death, and property damage.
- You understand that modified vehicles can become faster, heavier, more powerful, harder to control, harder to stop, and more dangerous.
- You understand that Vision Supply is not responsible for your vehicle, installation, riding behavior, charging location, storage location, controller settings, maintenance, legal compliance, or supervision of minors.
SECTION 4 - HIGH-RISK PRODUCT WARNING
Vision Supply sells aftermarket electric vehicle parts, batteries, chargers, controllers, performance components, and related accessories. These products may involve high voltage, high current, increased speed, increased torque, increased acceleration, increased heat, increased electrical load, fire risk, crash risk, and other serious hazards.
Vision Supply products may increase the speed, power, torque, voltage, acceleration, range, and performance of electric bikes, e-motos, scooters, dirt bikes, and similar vehicles. You understand and accept that these modifications can make a vehicle more dangerous and may result in serious injury, death, fire, explosion, burns, electric shock, property damage, vehicle damage, loss of control, brake failure or insufficient braking, and damage to a home, garage, vehicle, building, or other property.
You accept full responsibility for these risks.
SECTION 5 - BATTERY SAFETY WARNING
Lithium, lithium-ion, lithium polymer, and other high-performance batteries can be dangerous if damaged, modified, improperly installed, improperly charged, improperly stored, incompatible with your vehicle, incompatible with your charger, incompatible with your controller, or used incorrectly.
Battery-related hazards may include fire, explosion, thermal runaway, smoke, toxic fumes, burns, electric shock, property damage, injury, or death.
You are fully responsible for safe charging, storage, handling, inspection, installation, transport, maintenance, and use of all batteries purchased from Vision Supply.
You should never:
- Leave a battery charging unattended.
- Charge a battery overnight.
- Charge a battery while sleeping.
- Charge a battery when no responsible adult is present.
- Charge near flammable materials.
- Charge near beds, couches, carpet, curtains, paper, wood, fuel, chemicals, or other combustible materials.
- Charge in a blocked exit path, hallway, stairwell, bedroom, or any area that could prevent escape during a fire.
- Use a damaged, swollen, leaking, smoking, sparking, overheating, corroded, wet, punctured, crushed, dropped, or unusual-smelling battery.
- Use a battery after a crash, impact, water exposure, connector melt, wiring issue, or suspected internal damage without professional inspection.
- Modify battery cells, wiring, connectors, BMS, charger, case, mounting system, charge leads, or discharge leads.
- Use an incompatible charger.
- Use a universal charger unless it is specifically approved for that battery and voltage.
- Use a battery with an incompatible controller, motor, charger, wiring, connector, fuse, breaker, or vehicle.
- Expose batteries to water, impact, puncture, crushing force, extreme heat, extreme cold, or direct flame.
- Store batteries in unsafe areas, near flammable materials, in hot vehicles, in direct sunlight, near heaters, or in freezing conditions.
- Allow a minor to charge, store, handle, transport, install, or use a battery without responsible adult supervision.
If a battery shows signs of damage, heat, swelling, smoke, odor, leaking, sparking, corrosion, melted connectors, cut wires, abnormal charging behavior, abnormal discharge behavior, or any other unusual behavior, stop using it immediately. If safe to do so, move away from the product, keep others away, and seek emergency assistance if necessary.
You are responsible for having working smoke alarms, safe charging practices, safe storage practices, safe transport practices, and an emergency plan appropriate for lithium battery products.
SECTION 6 - CHARGERS, CONTROLLERS, SETTINGS, AND ELECTRICAL COMPATIBILITY
You are responsible for confirming that any charger, controller, BMS, connector, fuse, breaker, wiring harness, motor, display, and related component is compatible with the battery and vehicle before installation, charging, storage, or use.
Using the wrong charger, wrong voltage, wrong current, wrong connector, wrong controller settings, wrong low-voltage cutoff, wrong high-voltage cutoff, wrong phase wiring, wrong discharge limit, or wrong charge settings can cause fire, explosion, overheating, electrical failure, battery failure, vehicle damage, injury, or death.
If a Bluetooth dongle, programming tool, controller app, display setting, firmware setting, voltage setting, or controller adjustment is needed for your setup, you are responsible for obtaining it, using it correctly, confirming settings, and testing the vehicle safely before riding.
Vision Supply is not responsible for incorrect controller settings, incorrect voltage settings, incompatible controllers, improper programming, unsafe tuning, or failure to confirm safe operation after installation.
SECTION 7 - INSTALLATION, COMPATIBILITY, AND USER RESPONSIBILITY
Vision Supply products should only be installed by experienced users or qualified professionals familiar with high-power electric vehicle systems, mechanical systems, and electrical systems.
You are solely responsible for confirming compatibility before purchase, installation, charging, storage, or use. This includes compatibility with your vehicle, battery tray, controller, motor, charger, wiring, connectors, BMS, brakes, frame, tires, suspension, weight capacity, chain, belt, sprockets, fasteners, mounting points, and intended riding conditions.
You are responsible for proper installation, correct wiring, secure mounting, correct fuse sizing, correct breaker sizing, correct connector sizing, correct cable sizing, safe routing of wires, avoiding pinch points, avoiding heat sources, testing in a controlled area, regular inspection, maintenance, and ensuring that your vehicle can safely handle increased power, torque, speed, voltage, current, range, or weight.
Improper installation, incorrect wiring, poor mounting, incompatible parts, unsafe charging, unsafe storage, lack of inspection, lack of maintenance, or unsafe riding can cause fire, crash, injury, death, or property damage.
Vision Supply is not responsible for damage, injury, death, or property damage caused by improper installation, incompatible parts, incorrect settings, poor maintenance, user error, misuse, crash damage, racing, stunts, water exposure, wiring problems, or allowing another person, including a minor, to use the product.
SECTION 8 - VEHICLE READINESS, BRAKES, SPEED, AND RIDER RESPONSIBILITY
Battery upgrades and performance parts may increase vehicle speed, torque, acceleration, range, weight, and stress on vehicle components. These changes may make the vehicle harder to control or stop.
You are responsible for ensuring that the vehicle's brakes, tires, wheels, frame, suspension, drivetrain, chain, belt, sprockets, steering, throttle, controller, wiring, and safety systems are adequate for the increased power, weight, speed, and riding conditions.
You are responsible for wearing proper protective equipment, riding within your skill level, following all laws, avoiding unsafe riding, and preventing minors from riding beyond their ability or legal limits.
Vision Supply is not responsible for crashes, loss of control, brake failure, insufficient braking, rider error, excessive speed, racing, stunts, jumps, wheelies, off-road impacts, public-road use, or use by minors.
SECTION 9 - OFF-ROAD, PRIVATE PROPERTY, AND CLOSED-COURSE USE
Unless clearly stated otherwise in writing, Vision Supply products are sold for off-road, private property, racing, or closed-course use only.
Some products may not be legal for public roads, sidewalks, bike lanes, trails, parks, schools, neighborhoods, or other public areas. It is your responsibility to know and follow all laws in your area, including laws related to vehicle classification, age limits, helmets, registration, insurance, licensing, speed limits, noise, lighting, public-road use, trail access, and riding locations.
Vision Supply is not responsible for determining whether your vehicle, product, setup, modification, or use is legal in your area.
You are responsible for all tickets, fines, citations, impound fees, legal violations, injuries, property damage, or claims arising from where or how the vehicle is used.
SECTION 10 - SOCIAL MEDIA, VIDEOS, INSTALL CONTENT, AND INFORMATIONAL CONTENT
Any videos, social media posts, photos, install clips, demonstrations, reviews, comments, messages, or other content posted by Vision Supply, Lithium Vision, affiliates, creators, riders, customers, or third parties are for general informational, promotional, or entertainment purposes only.
Social media content is not a substitute for professional installation, manufacturer instructions, product-specific instructions, electrical knowledge, mechanical knowledge, legal advice, or safety training.
You should not rely on any video, post, comment, message, or demonstration as your only source of installation, charging, storage, wiring, controller tuning, legal, or safety guidance.
SECTION 11 - NO GUARANTEE OF PERFORMANCE, SAFETY, FITMENT, RANGE, SPEED, OR LEGALITY
Any speed, range, fitment, performance, compatibility, durability, installation, or safety information provided by Vision Supply is for general informational purposes only and is not a guarantee.
Actual results may vary based on vehicle condition, rider weight, rider behavior, terrain, tire pressure, controller settings, motor setup, gearing, installation quality, weather, battery condition, charging practices, storage practices, maintenance, and use.
Vision Supply does not guarantee that any product will make your vehicle safe, legal, reliable, insurable, compliant, or suitable for your intended use.
Vision Supply does not guarantee that a product will fit every version, production run, modification, or variation of a listed vehicle or model.
SECTION 12 - ASSUMPTION OF RISK
By purchasing, installing, charging, storing, modifying, reselling, transferring, allowing another person to use, or using any Vision Supply product, you knowingly and voluntarily assume all risks related to that product.
These risks include known and unknown risks, expected and unexpected risks, and risks that may result in serious injury, death, fire, explosion, electrical shock, burns, property damage, vehicle damage, home damage, financial loss, legal claims, or claims by third parties.
You accept full personal responsibility for all outcomes related to your purchase, installation, charging, storage, modification, resale, transfer, use, misuse, or inability to use any Vision Supply product.
If the product is purchased for, installed by, charged by, stored by, handled by, or used by a minor, the parent or legal guardian assumes all risks on behalf of themselves and the minor to the fullest extent permitted by law.
SECTION 13 - ORDERS, BATTERY BATCHES, RESERVES, AND BUILT-TO-ORDER PRODUCTS
When you place an order, you are making an offer to purchase. Vision Supply reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Vision Supply confirms acceptance. We must receive and process your payment before your order is accepted.
Please review your order carefully before submitting. Vision Supply may be unable to accommodate cancellation requests after an order is accepted, submitted for fulfillment, placed into production, reserved, custom made, built to order, shipped, or prepared for shipment.
Some batteries and products may be batch-produced, reserved, custom ordered, custom assembled, or built to order. Estimated production timelines, batch timelines, reserve timelines, and shipping timelines are estimates only and are not guaranteed.
Delays may occur due to manufacturing, supplier issues, customs, shipping carriers, weather, incorrect addresses, payment issues, battery testing, quality checks, packaging requirements, or events outside our control.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale, export, modification for resale, or distribution unless we have agreed otherwise in writing.
SECTION 14 - PRICES AND BILLING
Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs, duties, import charges, or other fees.
Prices posted in our online store may be different from prices offered in physical stores or in online or other stores operated by third parties. We may offer promotions on the Services that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.
You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made through the Services. You agree to promptly update your account and other information, including your email address, credit card numbers, and expiration dates, so that we can complete your transactions and contact you as needed.
You represent and warrant that: (i) the credit card or payment information you provide is true, correct, and complete; (ii) you are authorized to use such payment method for the purchase; (iii) charges incurred by you will be honored by your payment provider; and (iv) you will pay charges incurred by you at the posted prices, including shipping, handling, customs, duties, import charges, and all applicable taxes, if any.
SECTION 15 - SHIPPING, DELIVERY, TITLE, AND RISK OF LOSS
We are not liable for shipping or delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, incorrect addresses, weather, supply issues, manufacturer delays, battery production delays, quality checks, or events outside our control.
Once we transfer products to the shipping carrier, title and risk of loss passes to you to the fullest extent permitted by law.
You are responsible for providing a safe, accurate, and deliverable shipping address. You are responsible for receiving the package, inspecting the package, and securing the package after delivery.
If a shipment appears damaged, wet, crushed, punctured, leaking, smoking, hot, or otherwise unsafe, do not use the product. Document the condition, keep the product away from people and flammable materials if safe to do so, and contact Vision Supply and the carrier.
SECTION 16 - RETURNS, EXCHANGES, WRONG FITMENT, AND CUSTOMER ORDER ERRORS
Returns and exchanges are governed by our Refund Policy. Some products, including batteries, custom products, built-to-order products, reserved products, used products, installed products, charged products, modified products, damaged products, electrical products, and opened products may not be eligible for return or exchange unless required by law or approved by Vision Supply in writing.
You are responsible for confirming fitment before ordering. Vision Supply is not responsible for customer ordering mistakes, wrong vehicle identification, wrong model year, modified vehicles, third-party modifications, incompatible controllers, incompatible chargers, incompatible connectors, or failure to read product-page fitment details.
Do not install, charge, modify, wire, mount, or use a product if you believe it may be incorrect, damaged, incompatible, or unsafe. Contact Vision Supply before installation or use.
SECTION 17 - RESALE, TRANSFER, AND THIRD-PARTY USE
You may not resell, transfer, lend, rent, gift, share, modify for resale, or otherwise provide a Vision Supply product to another person unless you also provide all applicable product warnings, safety information, instructions, and these Terms.
If you allow another person, including a friend, family member, buyer, rider, child, or minor, to install, charge, store, ride, or use a Vision Supply product, you are responsible for ensuring they understand the risks and use the product safely and legally.
You agree to indemnify Vision Supply for claims arising from resale, transfer, lending, rental, gifting, sharing, modification, or allowing another person to use a Vision Supply product.
SECTION 18 - INTELLECTUAL PROPERTY
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection, and arrangement thereof, are owned by Lithium Vision LLC, Vision Supply, its affiliates, or licensors and are protected by U.S. and foreign patent, copyright, trademark, and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Lithium Vision LLC, Vision Supply, Shopify, or any third party. Unauthorized use of the Services may be a violation of federal and state intellectual property laws. All rights not expressly granted herein are reserved by Lithium Vision LLC and Vision Supply.
Vision Supply's names, logos, product and service names, designs, and slogans are trademarks of Lithium Vision LLC, Vision Supply, or its affiliates or licensors. You must not use such trademarks without the prior written permission of Lithium Vision LLC or Vision Supply. Shopify's name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
SECTION 19 - OPTIONAL TOOLS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor control.
You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider.
We may also offer new features through the Services in the future. Such new features shall also be deemed part of the Services and are subject to these Terms.
SECTION 20 - THIRD-PARTY LINKS
The Services may contain materials and hyperlinks to websites provided or operated by third parties, including embedded third-party functionality. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third-party sites, you do so at your own risk.
We are not liable for any harm or damages related to your access of any third-party websites or your purchase or use of any products, services, resources, or content on any third-party websites. Please review the third party's policies and practices before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third party.
SECTION 21 - RELATIONSHIP WITH SHOPIFY
Vision Supply is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Lithium Vision LLC through the Vision Supply website and storefront. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Lithium Vision LLC or Vision Supply, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Lithium Vision LLC or Vision Supply.
SECTION 22 - PRIVACY POLICY AND CHILDREN'S PRIVACY
All personal information we collect through the Services is subject to our Privacy Policy, which can be viewed at https://visionsupply.net/policies/privacy-policy, and certain personal information may be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services. Information you submit to the Services may be transmitted to and shared with Shopify and third parties that may be located in other countries than where you reside in order to provide services to you. The Services are not directed to children under 13. If you are under 13, do not use the Services or provide personal information. Parents or legal guardians must place orders on behalf of children and are responsible for any product purchased for a minor.

If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, photos, videos, testimonials, tags, social media posts, or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use.
You represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with your submission of Feedback; and (iii) your Feedback will comply with these Terms. We are under no obligation to maintain your Feedback in confidence, pay compensation for your Feedback, or respond to your Feedback.

You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any Feedback. Occasionally there may be information on or in the Services that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times, availability, compatibility, performance, fitment, safety, legality, or other product information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information is inaccurate at any time without prior notice, including after you have submitted your order.
SECTION 25 - PROHIBITED USES
You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, provincial, state, or local law, regulation, rule, or ordinance; (c) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any of our employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms; (g) to transmit or procure the sending of advertising or promotional material, including junk mail, chain letters, spam, or similar solicitations; (h) to impersonate or attempt to impersonate any person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services or that may harm Vision Supply, Shopify, or users of the Services or expose them to liability.
In addition, you agree not to: (a) upload or transmit viruses or malicious code; (b) reproduce, duplicate, copy, extract, sell, resell, or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, or pretext the Services; (e) use any robot, spider, scraping, data gathering and extraction tools, automatic devices or processes, AI tools, or automated or manual means to access the Services; or (f) interfere with, bypass, or circumvent security or authorization features, robot exclusion headers, or other measures we use to restrict access to the Services. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.
SECTION 26 - PROHIBITED PRODUCT USES
You may not use Vision Supply products:
- In violation of any law, rule, ordinance, or regulation.
- On public roads, sidewalks, bike lanes, trails, parks, schools, or public areas where such use is prohibited.
- Without proper safety equipment.
- Without proper adult supervision for minors.
- With an incompatible charger, controller, vehicle, wiring, connector, or component.
- After known or suspected damage, water exposure, impact, smoke, swelling, overheating, odor, or abnormal behavior.
- For unsafe racing, stunts, jumps, wheelies, reckless riding, or use beyond the vehicle or rider's capability.
- In any manner that creates unreasonable risk of injury, death, fire, explosion, electrical shock, or property damage.
SECTION 27 - AGENTS
This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person's device without direct supervision.
No Agent may access, use, or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with the requirements in this section. In addition, no Agent may access, use, or interact with the Services if we have requested that the Agent refrain from doing so.
We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with the Services.
Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: "Agent/[agent name]"; (ii) not conceal or obfuscate that any access, use, or interactions are from an Agent, including by mimicking human behavior or completing or circumventing CAPTCHAs or similar measures; (iii) respond truthfully to any question or prompt seeking to determine if interactions are coming from a human or a computer; and (iv) not circumvent or avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

We may terminate this agreement or your access to the Services, or any part of the Services, in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.
The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, High-Risk Product Warning, Battery Safety Warning, Chargers and Controllers, Off-Road and Closed-Course Use, Installation and Compatibility, No Guarantee of Performance, Assumption of Risk, Disclaimer of Warranties, Limitation of Liability, Release of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.
SECTION 29 - DISCLAIMER OF WARRANTIES
The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, usefulness, compatibility, safety, legality, or reliability of this information. Any reliance you place on such information is strictly at your own risk.
EXCEPT AS EXPRESSLY STATED BY VISION SUPPLY IN WRITING, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, NON-INFRINGEMENT, COMPATIBILITY, PERFORMANCE, SAFETY, OR LEGALITY.
VISION SUPPLY DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT ANY PRODUCT WILL BE SAFE, LEGAL, COMPATIBLE, RELIABLE, PROPERLY INSTALLED BY YOU OR ANY THIRD PARTY, SUITABLE FOR YOUR VEHICLE, SUITABLE FOR YOUR RIDING STYLE, SUITABLE FOR A MINOR, SUITABLE FOR PUBLIC ROAD USE, OR SUITABLE FOR YOUR INSTALLATION, CHARGING METHOD, STORAGE METHOD, OR INTENDED USE.
VISION SUPPLY DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
Some jurisdictions limit or do not allow the disclaimer of implied or other warranties, so some of the above disclaimers may not apply to you.
SECTION 30 - LIMITATION OF LIABILITY
To the fullest extent provided by law, in no case shall Lithium Vision LLC, Vision Supply, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, licensors, suppliers, manufacturers, or those of Shopify and its affiliates be liable for any injury, death, loss, claim, fire, explosion, burn, electrical shock, property damage, vehicle damage, home damage, garage damage, building damage, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any direct, indirect, incidental, punitive, special, exemplary, or consequential damages of any kind.
This limitation applies whether based in contract, tort, negligence, strict liability, product liability, warranty, statute, equity, or otherwise, and whether arising from or related to your use of the Services, your purchase of products, product installation, battery charging, battery storage, battery transport, vehicle modification, increased speed or power, use by a minor, lack of supervision, racing, stunts, jumps, crashes, public-road use, high-stress use, incompatible parts, improper installation, incorrect controller settings, product modification, violation of law, or any products procured using the Services, even if advised of their possibility.
To the fullest extent permitted by law, if Lithium Vision LLC or Vision Supply is found liable for any claim, the maximum total liability shall not exceed the amount you paid for the specific product giving rise to the claim.
Nothing in these Terms is intended to limit liability that cannot legally be limited under applicable law.
SECTION 31 - RELEASE OF LIABILITY
To the fullest extent permitted by law, you release Lithium Vision LLC, Vision Supply, its owners, employees, contractors, affiliates, suppliers, manufacturers, partners, representatives, licensors, service providers, and Shopify and its affiliates from any and all claims, damages, losses, injuries, deaths, costs, expenses, legal fees, or liabilities arising from or related to:
- Purchase of a product.
- Installation of a product.
- Charging, transport, handling, or storage of a battery.
- Use or misuse of a product.
- Vehicle modification.
- Increased speed, power, voltage, torque, acceleration, range, or performance.
- Riding by a minor.
- Lack of parental or guardian supervision.
- Improper installation.
- Incompatible parts.
- Incorrect controller, charger, display, app, or voltage settings.
- Product modification.
- Racing, stunts, jumps, crashes, wheelies, reckless riding, public-road use, or high-stress use.
- Fire, explosion, electrical failure, battery failure, thermal runaway, smoke, fumes, burns, or electric shock.
- Violation of any law or riding restriction.
- Resale, transfer, lending, gifting, or allowing another person to use a Vision Supply product.
SECTION 32 - INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Lithium Vision LLC, Vision Supply, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, service providers, suppliers, and manufacturers from any losses, damages, liabilities, claims, demands, lawsuits, injuries, deaths, property damage, home damage, fire damage, costs, or expenses, including reasonable attorneys' fees, payable to any third party due to or arising out of:
- Your breach of these Terms or the documents they incorporate by reference.
- Your violation of any law or the rights of a third party.
- Your access to and use of the Services.
- Your purchase, installation, charging, storage, transport, use, misuse, modification, resale, transfer, or inability to use any Vision Supply product.
- Your vehicle modification.
- Your incorrect controller, charger, app, wiring, connector, display, or voltage settings.
- Your failure to supervise a minor.
- Your allowing another person, including a minor, to access, install, charge, store, ride, or use any Vision Supply product.
- Claims made by a minor, parent, guardian, passenger, rider, buyer, transferee, guest, property owner, neighbor, injured person, insurer, government agency, or other third party related to a Vision Supply product.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent, not to be unreasonably withheld. You will cooperate in the defense of indemnified claims, including by providing relevant documents.
SECTION 33 - THIRD-PARTY PRODUCTS, SUPPLIERS, AND MANUFACTURERS
Some products sold by Vision Supply may be manufactured, assembled, supplied, designed, tested, labeled, packaged, or shipped by third parties.
Vision Supply may act as a retailer, reseller, or distributor and may not control the manufacturing, design, assembly, testing, labeling, quality control, or shipping process for third-party products.
Warranty, defect, performance, manufacturing, battery construction, cell failure, BMS failure, charger defect, supplier-related, or manufacturer-related claims may be subject to the original manufacturer's or supplier's terms, limitations, and warranty process.
Nothing in this section limits any rights that cannot legally be limited under applicable law.
SECTION 34 - SAFETY NOTICES, RECALLS, AND PRODUCT UPDATES
You are responsible for reviewing any safety notices, product updates, manufacturer notices, recall information, or instructions that may apply to products you purchase or use.
If Vision Supply becomes aware of a safety notice, recall, product update, or manufacturer instruction that may apply to a product, we may attempt to provide notice using contact information available to us. However, you are responsible for keeping your contact information current and for monitoring relevant safety information.
If you receive a safety notice, recall notice, or instruction to stop using a product, you must stop using the product immediately and follow the applicable instructions.
SECTION 35 - FORCE MAJEURE
Vision Supply is not responsible for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, fire, flood, weather, labor disputes, carrier delays, customs delays, supply chain delays, manufacturer delays, shortages, government action, war, civil unrest, cyberattacks, payment processing failures, Shopify outages, or other events outside our control.
SECTION 36 - NON-WAIVABLE RIGHTS
Some rights, warranties, remedies, duties, or liabilities may not be waived, limited, released, or disclaimed under applicable law. Nothing in these Terms is intended to waive, limit, release, or disclaim rights or obligations that cannot legally be waived, limited, released, or disclaimed.
If any part of these Terms is found unenforceable as applied to a specific claim, the remaining Terms shall remain in effect to the fullest extent permitted by law.
SECTION 37 - SEVERABILITY
If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.
SECTION 38 - WAIVER; ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
These Terms and any policies or operating rules posted by us on this site or in respect to the Services constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us, including any prior versions of the Terms.
Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
SECTION 39 - ASSIGNMENT
You may not delegate, transfer, or assign this agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you.
SECTION 40 - GOVERNING LAW, VENUE, AND DISPUTES
These Terms and any separate agreements whereby we provide you Services or products shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles, unless another law is required to apply.
You and Lithium Vision LLC, doing business through Vision Supply, consent to venue and personal jurisdiction in the state and federal courts located in Michigan, unless otherwise required by applicable law.
To the fullest extent permitted by law, any dispute, claim, or controversy must be brought only in your individual capacity and not as a plaintiff, class member, or representative in any proposed class, collective, consolidated, private attorney general, or representative proceeding.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
